Terms of Service

These Terms of Service ("Terms") govern your use of the StashWhisper desktop application ("StashWhisper", "Software", "we", "us", or "our"). By downloading, installing, accessing, or using StashWhisper, you agree to these Terms. If you do not agree, do not install or use the Software.

1. Description of the Software

StashWhisper is a Windows desktop application that provides local audio recording and local speech-to-text transcription (via whisper.cpp), together with a one-click "Smart Prompt Export" feature that formats your transcript into a prompt you can upload, at your own choice, to a third-party AI chat service (such as ChatGPT, Claude, or Gemini) to generate study notes. StashWhisper does not itself run an AI model that generates study notes — see the Privacy Policy, Section 3, for how that feature works. StashWhisper is distributed exclusively through the Microsoft Store — see Section 10 (Distribution via Microsoft Store).

2. Free Trial

StashWhisper provides a limited free trial consisting of three (3) complete recording sessions (each session capped at 60 minutes of live transcription), so you can evaluate the Software on your own computer before purchasing a Pro license. The free trial may not be reset, duplicated, transferred, or otherwise manipulated to obtain additional unauthorized trial usage. We reserve the right to modify or discontinue the free trial program where reasonably necessary.

3. Pro License

A Pro license provides the purchaser with the right to use the Pro version of StashWhisper according to the license terms presented at checkout. Unless otherwise stated at checkout, the Pro Lifetime License is a one-time purchase and not a subscription. A license may not be resold, redistributed, shared, or transferred except where expressly permitted by us or applicable law. Pro licenses are sold and delivered through the Microsoft Store; see Section 10 (Distribution via Microsoft Store) and our Refund Policy for how those purchases, and refund requests for them, are handled.

4. License Activation

Pro functionality is activated and verified against the purchase entitlement associated with the Microsoft account used to buy it, through the Store's own licensing system, rather than a separately-issued license key, unless we state otherwise for a specific release. You are responsible for keeping the Microsoft account you use to install and purchase StashWhisper reasonably secure, and may not attempt to circumvent Store license verification.

5. Your Content

You retain ownership of the audio recordings, transcripts, notes, and other content you create or store using StashWhisper. We do not claim ownership of your recordings or study material. You are responsible for ensuring that your use of the Software, and your recorded content, complies with applicable laws and third-party rights.

6. Recording and Consent

Recording laws differ by jurisdiction. You are solely responsible for determining whether you are legally permitted to record a lecture, meeting, conversation, class, or other audio, and for obtaining any consent required by law before recording. StashWhisper does not provide legal advice regarding recording or consent requirements.

7. System Requirements

StashWhisper requires Windows 10 or Windows 11 and at least 8 GB of installed RAM. The application and installer check available memory at setup and at startup: on a computer with less than approximately 7.5 GB of usable RAM, the Software can still be installed, but live transcription — the application's core function — remains disabled until the requirement is met. Actual transcription speed and accuracy may still vary depending on your CPU, available memory, storage, background applications, and recording length. You are responsible for ensuring your computer meets these requirements.

8. Local Processing

StashWhisper is designed to perform recording and transcription locally. Local processing does not guarantee that every optional feature — including update checks, license purchase/activation, or voluntary use of a third-party AI service — will operate without internet connectivity.

9. Third-Party AI Services

The Software includes an optional feature that exports your transcript as a prompt file, which you may choose to upload to a third-party AI chat service of your choosing. Your use of any third-party AI service is governed solely by that provider's own terms of service and privacy policy. We are not a party to your relationship with any such provider and are not responsible for its availability, output, pricing, or policies.

10. Distribution via Microsoft Store

StashWhisper is distributed and licensed exclusively through the Microsoft Store. We do not offer a direct download of the installer outside the Store. By installing StashWhisper, you also agree to the Microsoft Store Terms of Sale and any other terms Microsoft applies to apps obtained through the Store.

Purchases of a Pro license, payment processing, license verification/activation, and delivery of the digital product are carried out through Microsoft's own commerce and licensing systems as part of the Store platform — not through a separate checkout that we operate. The Microsoft Store Terms of Sale, not a payment processor of our own, govern the purchase transaction itself, including how and when charges are made.

11. Software Updates

We may release updates, bug fixes, improvements, security updates, or changes to functionality from time to time. Certain updates may change system requirements or available features.

To the maximum extent permitted by applicable law, StashWhisper is provided "as is" and "as available," without warranties of any kind except where such warranties cannot lawfully be excluded. We do not guarantee that the Software will operate without interruption; that transcription will always be accurate; that content you obtain from a third-party AI service using a StashWhisper-exported prompt will always be complete or correct (that content is generated by the third-party service you choose, not by StashWhisper); that the Software will work equally on all computer configurations; or that it will meet every individual user's requirements. Content produced by any AI service should be reviewed by you and should not be treated as a guaranteed authoritative source.

14. Limitation of Liability

To the maximum extent permitted by applicable law, StashWhisper and its developers shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Software. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

15. Termination

We may suspend or terminate a license where the user materially violates these Terms or engages in unauthorized use of the Software. Termination does not affect rights or obligations that by their nature should survive termination.

16. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be published with a revised effective date. Your continued use of the Software after an update may constitute acceptance of the updated Terms to the extent permitted by applicable law.
